PRSONAS™ Avatar Interpreter Terms of Service

These Terms of Service ("Terms") govern your access to and use of the PRSONAS™ Avatar  Interpreter, a multilingual AI-powered interpretation service featuring a guided PRSONAS™ AI avatar for real-time language translation ("Service"), provided by PRSONAS™ (referred to as "we," "us," or "our"). By accessing or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

Service Description  
The Service enables users to speak in one language and receive real-time interpretation into another, guided by an expressive AI avatar. It targets applications in government, retail, transportation, hospitality, education, and similar settings for 24/7 scalable multilingual support.

Eligibility and Accounts 
You must be at least 18 years old or the age of majority in your jurisdiction to use the Service. If using on behalf of an organization, you represent that you have the authority to bind it. You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account.

Subscription and Fees 
Access to the Service may require a subscription or payment. Details, including fees and billing, are provided separately (e.g., via order form or pricing page). Fees are non-refundable except as required by law. We may change pricing with notice.

License and Restrictions 
Subject to these Terms and your payment obligations, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for its intended purpose during your subscription term.  

You may not:  

  • Reverse engineer, decompile, or modify the Service or AI components.  

  • Use the Service to develop competing products.  

  • Resell, sublicense, or commercially exploit the Service beyond permitted use.  

  • Attempt to access or use the Service in ways that exceed authorized limits or interfere with its operation.

User Content and Data  

You retain ownership of any content or data you input (e.g., spoken audio for interpretation). By using the Service, you grant us a worldwide, non-exclusive, royalty-free license to process, store, and use such inputs solely to provide, improve, and analyze the Service (including analytics features).  

We may use aggregated, anonymized data derived from usage for our business purposes.

Acceptable Use  

  • You agree not to use the Service to:  

  • Transmit unlawful, harmful, or infringing material.  

  • Violate laws, third-party rights, or engage in fraud/misrepresentation.  

  • Overload or disrupt the Service.  

  • We may monitor usage and suspend or terminate access for violations. 

Intellectual Property 

We or our licensors own the Service, AI avatars, technology, and all related materials. All rights not expressly granted are reserved. No ownership is transferred to you.

Termination  

We may terminate or suspend your access at any time for breach of these Terms or non-payment. Upon termination, your right to use the Service ends, but the surviving provisions (e.g., liability limitations, IP rights) remain in effect.

Disclaimers  

The Service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, express or implied, including accuracy, reliability, or uninterrupted availability of interpretations. AI outputs may contain errors; you are responsible for verifying critical communications. We do not guarantee specific language support or performance levels unless stated in a separate agreement.

Limitation of Liability  

To the maximum extent permitted by law, we are not liable for any indirect, incidental, consequential, or punitive damages arising from your use of the Service, even if advised of the possibility. Our total liability shall not exceed the amounts you paid for the Service in the 12 months preceding the claim.

Indemnification  

You agree to indemnify and hold us harmless from claims arising from your violation of these Terms, your content, or your misuse of the Service.

Governing Law and Disputes  

These Terms are governed by the laws of the State of North Carolina, USA, without regard to conflict of laws principles. Disputes shall be resolved exclusively in the state or federal courts located in North Carolina.

Changes to Terms  

We may update these Terms with notice (e.g., via the Service or email). Continued use after changes constitutes acceptance.
